Please read these Terms of Service ("Terms") carefully before downloading or using the Desk Stretch application ("App") or visiting this website ("Site"). By using the App or Site, you agree to be bound by these Terms. If you do not agree, do not use the App or Site.

The App is developed and operated by ZHICHAO SUN("we", "our", or "us"), reachable at support@deskstretch.app.

1. Apple End User License Agreement

The App is licensed to you under Apple's standard End User License Agreement (EULA), the terms of which are incorporated herein by reference. Apple is not a party to these Terms and is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. In the event of any conflict between Apple's EULA and these Terms, Apple's EULA controls with respect to App usage on Apple devices.

Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right to enforce these Terms against you as a third-party beneficiary thereof.

2. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on Apple devices that you own or control, solely for your personal, non-commercial purposes.

You may not:

  • Copy, modify, or distribute the App or any portion thereof
  • Reverse-engineer, decompile, or disassemble the App
  • Sublicense, sell, or otherwise transfer the App or your rights under these Terms
  • Use the App for any unlawful purpose

3. Health & Medical Disclaimer

Desk Stretch provides stretch reminders and wellness prompts for general informational purposes only. The App is not a medical device and does not constitute medical advice, diagnosis, or treatment. The information provided by the App is not a substitute for professional medical advice.

Always consult a qualified healthcare provider before starting any new exercise or health regimen, especially if you have a pre-existing medical condition or injury. By using the App, you acknowledge that we are not liable for any health outcomes resulting from following App suggestions.

4. Subscriptions & In-App Purchases

Certain features of the App may require a paid subscription or one-time in-app purchase ("Purchase"). All Purchases are processed by Apple through the App Store and are subject to Apple's Terms and Conditions.

  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.
  • Billing: Your Apple ID account will be charged upon confirmation of purchase and at the start of each renewal period.
  • Cancellation: You may cancel a subscription at any time through your Apple ID account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time.
  • Free Trials: If a free trial is offered, any unused portion of the trial period is forfeited upon purchase of a subscription.
  • Refunds: All refund requests are handled by Apple in accordance with Apple's refund policy. We do not process refunds directly. To request a refund, visit reportaproblem.apple.com.
  • Price Changes: We reserve the right to change subscription prices. Price changes will be communicated in advance and will take effect at the next renewal period.

5. Intellectual Property

All content, features, design, graphics, logos, and code within the App and Site are the exclusive property of ZHICHAO SUN or our licensors and are protected by applicable copyright, trademark, and intellectual property laws. Nothing in these Terms grants you any rights to use our trademarks, trade names, or other intellectual property.

6. Your Data & Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for maintaining the security of your device and any iCloud backups of your data. We recommend keeping your device software and the App up to date.

7. Age Requirements

You must be at least 13 years old (or the applicable minimum age in your jurisdiction) to use the App. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZHICHAO SUN, ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP OR SITE, REGARDLESS OF THE LEGAL THEORY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR USD $10.00 IF YOU HAVE NOT MADE ANY PAYMENT.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

10. Termination

We reserve the right to terminate or suspend your access to the App at any time, with or without cause or notice, to the extent permitted by applicable law. Upon termination, the license granted under these Terms will immediately cease. All provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall survive.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding existence, validity, or termination, shall be referred to and finally resolved by binding arbitration administered under the rules of the Singapore International Arbitration Centre ("SIAC") in effect at the time of the dispute. The seat of arbitration shall be Singapore. The language of the arbitration shall be English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

12. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and, where required by law, by providing notice through the App or by email. Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of those changes.

13. Miscellaneous

These Terms, together with our Privacy Policy and Apple's EULA, constitute the entire agreement between you and us regarding the App. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
